There's another topic on the board with more discussion, but the tl;dr is:
-Disney would no longer get to manage their own government services (fire, police, roads, etc). That power will return to the state.
-They will also now be required to pay certain taxes they didn't have to pay and conform with regulations they weren't complying with.
-The state would take ownership of the roughly $2 billion in debt that the disney "town" holds

In practice, very little will actually change, and it might not go through anyway because apparently the town needs to be given a vote on the measure and the town is like 100% disney employees.

Even if they don't, the practical implications are that if Disney World gets a pothole they can no longer just send a crew out and fix it themselves. The township will have to send a crew, with all the expediency that every other town in florida gets potholes filled. It also means that a whole bunch of disney buildings would suddenly no longer be "up to code" since they would have previously drafted their own special codes that fit all their plans.

Keep in mind that originally Disney didn't say anything at all. There was a social media buzz to put pressure on them explicitly for not saying anything, and then there was follow up criticism for waiting until the bill had passed before making a statement. Disney wanted nothing to do with any of this but made the call that pissing off twitter was more dangerous than pissing off the state.

To be technical, the town still holds that debt. It's just that administration of paying it off would fall on Orange County and not Disney. Orange County could choose to pay it off by, say, raising property taxes in Disney. The debt itself doesn't change hands and Disney should probably never have fallen $2 billion in municipal debt in the first place, but since it exists it still has to be dealt with.

Disney world is essentially a small town in and of itself

the Disney world complex is 40 square miles of hotels, theme parks, and other facilities

my understanding is functionally it just let Disney handle all the infrastructure needs that a town of that size would need without having to go through some other municipal governing body

It also lets them do things like set their own zoning rules and building standards. So if they design some new wacky castle, or want to take a big chunk of land not yet zoned for commercial business, they can rubber stamp approve their own design rather than having to get the design approved by an external regulatory body.
