But that doesn't necessarily matter, because they also own the current rights to Spider-Man. So Disney has to explicitly ask their permission to use Spider-Man in Marvel films. And the deal they came to is part of why they revenue-share for the MCU Spider-Man films. So Sony could always have just given Disney permission to use Carnage, if Disney had wanted to.
