Why doesn't it count? We're talking about creating new franchises here, does it matter if they were spun off of existing properties? You know if Agents of Mayhem was successful Deep Silver would've already been working on a sequel if not have one out already.

Because franchise is a pretty umbrella term. Spin offs are generally still considered part of the same franchise as the IP they spun off from.

For example Shadow the Hedgehog is still part of the Sonic franchise.

Yu-Gi-Oh Gx is still part of the Yu-Gi-Oh franchise.

Metal Gear Solid, Metal Gear Acid, Metal Gear Survive, and That hack & slash game with Raiden are all part of the Metal Gear franchise.

Though there are execptions like Persona these days counts as a seperate franchise from SMT. They even stopped adding Shin Megami Tensei to the title with persona 5. Course its a rare case of a spin off eclipsing the main series.

Stepping away from just video games, Magi Nation Duel was a TCG that was basically Magic the Gathering with brightly colored monsters for kids. It plodded around for a few years including having a GBA game.

Then after being dead for like 8 years they make a Saturday morning cartoon of it, an MMO and try to relaunch the card game. Still doesn't take, and the cards I have in my parents garage continue to be worthless.

SMT was never in the title in Japan for any of the personas, just like the other spin-offs, so that doesn't really mean anything.

That's arguable. After all, by that logic, all Marvel properties would be part of the same franchise.
