Say I'm selling an item for 35 bucks, and me and the buyer have agreed to meet at some point in the near future.

Then someone else comes in, inquires, finds out I'm selling it already and offers me 40.

Should I give the first buyer a chance to respond, or should I just sell it to the second buyer.

If you already agreed to sell to the first buyer, you have a legally binding contract with him and he could theoretically sue you for the value of the item.

Well, that depends on whether you accepted the first buyer's offer or not. If you didn't accept yet, do whatever you like. If you did, the item is already sold.
