The governors office disputes it because PB doesn't do the entire bread making process on site and ships in ready made dough.

Alex Stack, a spokesperson for Newsom, told the AP that the story is absurd and that the governors legal team believes Panera Bread is not exempt from the law.
To be exempt from the minimum wage law under the bakery exemption, restaurants must produce bread on-site. Newsoms office said chain bakeries such as Panera mix dough at an off-site location and ship it to the restaurant to be baked.

Does this potentially leave a loophole for PB to exploit? Sure. Close the loophole if it's that big of a problem.
