The argument is that they commissioned the BCG to form a plan for them to improve the company and that BCG provide them with a plan that wasn't feasible ( bad for shareholders is a violation of the company's fiduciary duty ). Now can GameStop prove in court that BCG gave them a bad plan, I don't know. But if you hired an architect to design you a house and they gave you plans for a moon base you might feel you shouldn't pay them.
